Terms of Service
1. Agreement to Terms
These Terms of Service ("Terms") are an agreement between you and Visionary Management Solutions LLC, which operates Texas Hotel Tax Intelligence ("Texas Hotel Tax Intelligence," "we," "us," or "our"), and govern your access to and use of our website and subscription research service (the "Service"). By creating an account, agreeing at sign-up, or otherwise using the Service, you agree to these Terms and to our Privacy Policy. If you use the Service on behalf of a company or other organization, you confirm that you're authorized to accept these Terms for it, and "you" includes that organization. If you do not agree, do not use the Service.
2. Description of the Service
Texas Hotel Tax Intelligence is a subscription research tool that organizes Texas Hotel Occupancy Tax filings, sourced from official state filings, into a searchable dashboard, including filing history, ownership-change tracking, RevPAR, year-over-year variance, and Excel export. We may add, change, or remove features from time to time.
3. Independent, Not an Official Government Service
Texas Hotel Tax Intelligence is an independent research tool. We are not affiliated with, endorsed by, sponsored by, or operated by the Texas Comptroller of Public Accounts or any other government agency. Nothing on the Service is an official government record. For official records, consult the applicable government agency directly.
4. Not Investment, Legal, or Financial Advice
The Service is provided for general informational and research purposes only. Nothing on the Service constitutes investment, financial, legal, tax, appraisal, or other professional advice, and nothing here should be relied upon as the sole basis for any acquisition, construction, lending, valuation, or other business decision. You are solely responsible for independently verifying any figure before acting on it, and for obtaining professional advice appropriate to your situation.
5. Eligibility and Accounts
You must be at least 18 years old and able to form a binding contract to use the Service. Each account is for one individual. You're responsible for the accuracy of the information you provide, for keeping your login credentials confidential, and for all activity under your account. Don't share your login with anyone else, and contact us promptly if you believe your account has been used without your permission.
6. Subscriptions, Billing, and Cancellation
Paddle is our reseller. Our order process is conducted by our online reseller Paddle.com. Paddle.com is the Merchant of Record for all our orders: it processes your payment, collects any applicable sales tax, issues your receipts and invoices, and handles refund requests. Paddle's Buyer Terms also apply to your purchase, and your card statement will show Paddle as the seller.
Renewal. Paid access is billed in advance on a recurring basis (monthly or yearly, as you select). Subscriptions renew automatically at the then-current price until canceled. If we change the price of your plan, we'll tell you by email before the change, and the new price applies from your next renewal after that notice.
Cancellation. You may cancel at any time from the Billing page. Cancellation takes effect at the end of the period you've already paid for, and you keep full access until then.
Converting to Yearly. A Monthly subscription can be converted to Yearly from the Billing page: you're shown the amount and approve the payment, the full Yearly price is charged at that time, your Monthly plan stops renewing, and the Yearly term starts when the Monthly period you've already paid for ends. A Yearly subscription can't be switched to Monthly; it can only be canceled.
Refunds. Except where required by law or under Paddle's Buyer Terms, payments are non-refundable, and we don't give credits for partial periods. Our Refund Policy explains the exceptions and how to request a refund. If a payment fails, we may suspend access until it's resolved.
7. Your License and Acceptable Use
While your subscription is active, we grant you a limited, non-exclusive, non-transferable, revocable license to access the Service and use the information it provides, including your Excel exports, for your own internal business purposes. You may include limited excerpts in your own analyses, reports, and communications with your clients or partners, as long as they aren't offered as a substitute for the Service.
You agree not to: (a) scrape, harvest, or bulk-extract data from the Service other than through the features we provide; (b) resell, sublicense, publish, or redistribute the compiled dataset or any derived analytics, in whole or in substantial part, or use them to build a competing product; (c) share your account or let anyone else use your subscription; (d) attempt to circumvent the Service's authentication or access controls; (e) reverse engineer or attempt to extract the Service's source code; (f) use the Service in a way that could disable, overburden, or impair it; or (g) use the Service for any unlawful purpose, including harassing or discriminating against any business or person named in the records.
8. Data Accuracy and No Warranty
Data on the Service is derived from public Hotel Occupancy Tax filings. We check for new filings regularly, but the data may lag behind, differ from, or contain errors relative to the underlying government source, including errors in what filers originally reported. Figures such as RevPAR and year-over-year changes are our own calculations, and ownership history is inferred by matching filings for the same location, so it may be incomplete or incorrect.
THE SERVICE AND ALL DATA MADE AVAILABLE THROUGH IT ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF ACCURACY, COMPLETENESS, MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DON'T WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED OR ERROR-FREE.
9. Intellectual Property
The organization, computation, linking, and presentation of the underlying public filings, along with the Service's design, software, and branding, are owned by Texas Hotel Tax Intelligence. The underlying raw tax filings themselves remain public records maintained by the State of Texas. If you send us suggestions or feedback, we may use them without any obligation to you.
10. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW: (A) TEXAS HOTEL TAX INTELLIGENCE AND ITS OPERATORS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS OPPORTUNITY, ARISING FROM YOUR USE OF, OR INABILITY TO USE, THE SERVICE, INCLUDING DECISIONS MADE IN RELIANCE ON DATA PROVIDED THROUGH IT, EVEN IF WE WERE ADVISED OF THE POSSIBILITY OF SUCH DAMAGES; AND (B) OUR TOTAL LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICE WILL NOT EXCEED THE AMOUNT YOU PAID FOR THE SERVICE IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM.
11. Indemnification
You agree to indemnify and hold harmless Texas Hotel Tax Intelligence and its operators from any claims, losses, and expenses (including reasonable attorneys' fees) arising from your violation of these Terms or your misuse of the Service or its data.
12. Suspension and Termination
We may suspend or terminate your access to the Service if you violate these Terms or don't pay. You may stop using the Service and cancel your subscription at any time. When your access ends, your license in Section 7 ends with it. If we discontinue the Service entirely, we'll refund the unused portion of any prepaid subscription fees. Sections 4 and 8 through 15 survive termination.
13. Changes to These Terms
We may update these Terms from time to time. If we make material changes, we'll update the "Last updated" date above and notify you by email or through the Service before they take effect. Continued use of the Service after a change takes effect constitutes acceptance of the revised Terms; if you don't agree, cancel your subscription before then.
14. Governing Law and Disputes
These Terms are governed by the laws of the State of Texas, without regard to its conflict-of-laws principles. Before filing any claim, you agree to contact us first and give us 30 days to try to resolve it informally. Any lawsuit relating to these Terms or the Service must be brought in the state or federal courts located in Texas, and you and we consent to their jurisdiction; either party may instead bring an individual claim in small claims court.
15. General
These Terms, together with our Privacy Policy, are the entire agreement between you and us about the Service. If any provision is found unenforceable, the rest remain in effect. Our failure to enforce a provision isn't a waiver of it. You may not transfer your account or these Terms without our consent; we may transfer them as part of a merger, acquisition, or sale of the Service. We're not responsible for delays or outages caused by events beyond our reasonable control, including the unavailability of the government data sources the Service relies on.
